1. Acceptance of Terms

By accessing or using the NextPhase platform (“Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you are using the Platform on behalf of a club, organization, or team (“Organization”), you represent that you have authority to bind that Organization to these Terms.

If you do not agree to these Terms, you may not use the Platform.

2. Description of Services

NextPhase is a software platform designed to support youth sports organizations by:

• Collecting coach-provided player evaluations
• Generating structured player development reports
• Facilitating communication between coaches, players, and parents
• Providing tools to track development over time

NextPhase is a communication and workflow tool and does not independently evaluate players.

3. Eligibility and Use

You may use the Platform only if:

• You are at least 18 years old, or using the Platform under the supervision of an Organization
• You are authorized by an Organization to access the Platform
• You comply with all applicable laws and regulations

4. Account Registration and Security

Users may be required to create an account.

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of login credentials
• Notify NextPhase of unauthorized use

NextPhase is not responsible for losses caused by unauthorized access resulting from your failure to safeguard credentials.

5. Customer Responsibilities

Organizations and users are responsible for:

• Ensuring the accuracy of all submitted data
• Obtaining appropriate parental or guardian consent for player data
• Determining how reports are used, shared, and communicated
• Ensuring that use of the Platform complies with club policies and applicable laws

6. Youth Data and Privacy

NextPhase is designed for use by organizations managing youth athlete data.

• NextPhase does not knowingly collect personal information directly from children
• All player data is provided by the Organization
• The Organization is responsible for obtaining any required parental or guardian consent

7. Data Ownership and Usage

• The Organization retains ownership of all data submitted to the Platform
• NextPhase may process data solely to provide and improve the service
• NextPhase may use anonymized and aggregated data for analytics and product improvement

NextPhase will not sell personal data.

8. Acceptable Use

You agree not to:

• Use the Platform for unlawful or harmful purposes
• Provide false or misleading information
• Use the Platform for discriminatory or non-developmental purposes
• Attempt to disrupt or interfere with the Platform
• Use reports as the sole basis for player ranking, selection, or removal

9. Platform Limitations and Disclaimer

NextPhase:

• Does not make decisions regarding player placement, playing time, or advancement
• Does not guarantee developmental outcomes
• Relies on coach-provided input

The Platform is provided “as is” and “as available.”

10. Fees and Payment

If you are on a paid plan:

• You agree to pay all applicable fees
• Fees are non-refundable unless otherwise stated
• NextPhase may modify pricing with reasonable notice

11. Intellectual Property

All rights, title, and interest in the Platform (excluding customer data) are owned by NextPhase.

You may not:

• Copy, modify, or distribute the Platform
• Reverse engineer or attempt to extract source code
• Use branding without permission

12. Confidentiality

Each party agrees to protect confidential information shared during use of the Platform.

13. Limitation of Liability

To the fullest extent permitted by law:

NextPhase shall not be liable for:

• Indirect, incidental, or consequential damages
• Decisions made by coaches, parents, or organizations
• Loss of data, revenue, or opportunity

Total liability shall not exceed the amount paid for the service in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless NextPhase from claims arising from:

• Your use of the Platform
• Violation of these Terms
• Misuse of player data

15. Suspension and Termination

NextPhase may suspend or terminate access if:

• Terms are violated
• Payment obligations are not met
• Use poses legal or operational risk

You may terminate use at any time.

16. Modifications to the Service

NextPhase may:

• Update or modify features
• Improve functionality
• Discontinue certain features

We will make reasonable efforts to notify users of material changes.

17. Changes to Terms

NextPhase may update these Terms from time to time.

Continued use of the Platform constitutes acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by the laws of:

19. Dispute Resolution

Any disputes shall be resolved through:

• Good faith negotiation
• If unresolved, binding arbitration or applicable courts in the governing jurisdiction
